Solo Plan License

NextUI Inc. grants you a continuous, non-exclusive license to use the NextUI Pro Components.

This license allows a single individual (the License Holder) to access and utilize the NextUI Pro Components

You are permitted to:

  • Use the Components to create unlimited End Products.
  • Adapt the Components to create derivative components, bound by this license.
  • Utilize the Components for unlimited End Products across various Clients.
  • Create End Products for sale to End Users with the Components.
  • Develop End Products that are open source and freely accessible to End Users.

You are not permitted to:

  • Create End Products that enable End Users to generate their own products using the Components or their derivatives.
  • Redistribute the Components or their derivatives outside an End Product, in any format.
  • Share your access to the Components.
  • Produce content that may, in NextUI Inc.’s sole judgement, compete with or conflict with NextUI Inc.’s operations.

Example Usage

Examples of permitted usage under the license:

  • Build a personal website independently.
  • Develop websites or web applications for a client, with ownership by the client.
  • Create commercial SaaS applications requiring user fees.
  • Develop commercial, self-hosted web applications for one-time sales to end users.
  • Build web applications where the primary purpose is clearly not to simply re-distribute the components.
  • Create open source applications where the primary purpose is clearly not to simply re-distribute the components.

Examples of prohibited usage under the license:

  • Create a public repository of favored NextUI Pro components (or derivatives) and sharing it publicly.
  • Develop a UI library with NextUI Pro components for either sale or free distribution.
  • Adapt a NextUI Pro components to another framework for either sale or free distribution.
  • Create a Figma or Sketch UI kit based on NextUI Pro component designs.
  • Develop a "website builder" project that enables end users to create websites using components from NextUI Pro.
  • Produce any End Product that does not exclusively belong to your company or one of its clients. For instance, your employees or contractors are not permitted to use the NextUI Pro license of your company for personal projects, such as their own websites or independent side projects
  • Design a theme, template, or starter kit with the components for either sale or free distribution.
  • Give someone else access to your NextUI Pro account, or sharing the Components in any way.
  • Use the Components to create products that might be viewed by NextUI Inc. as competitive or conflicting with its business.
  • Give someone access to NextUI Pro as part of another product sale. For example, you can't use a Startup or Organization License to offer NextUI Pro access when selling an online course.
  • Sell access to your NextUI Pro account.

Solo Plan License Definitions

  • License Holder is the individual who purchases a Personal License.
  • Components refer to the source code and design assets made available to the License Holder after purchasing a NextUI Pro license.
  • End Product is any creation that integrates the Components or their derivatives.
  • End User is a user of an End Product.
  • Client is an individual or entity receiving custom professional services directly from the License Holder, specifically created for that individual or entity. SaaS product customers are not deemed clients for this document.

Startup and Organization Plan License

NextUI Inc. provides an ongoing, non-exclusive license to use the Components.

This license is available in two tiers:

  • Startup Plan: Startup Plan: Allows up to 5 Employees and Contractors of the License Holder to access and use the NextUI Pro Components.
  • Organization Plan: Expands the allowance to up to 25 Employees and Contractors, catering to larger teams and organizations.

For both tiers, you are permitted to:

  • Use the Components for unlimited End Products.
  • Modify the Components to develop derivative components, which are also under this license.
  • Employ the Components for unlimited End Products for unlimited Clients.
  • Implement the Components in End Products that are sold to End Users.
  • Apply the Components to create End Products that are open source and freely accessible to End Users.

For both tiers, you are not permitted to:

  • Use the Components to develop End Products that enable an End User to construct their own End Products with these Components or their derivatives.
  • Distribute the Components or their derivatives separately from an End Product.
  • Use the Components for End Products owned by anyone other than the License Holder or their Clients.
  • Grant access to the Components to individuals not employed or contracted by the License Holder.
  • Use the Components to create products that might be viewed by NextUI Inc. as competitive or conflicting with its business.

Example Usage

Examples of permitted usage under the license:

  • Build a website for your company.
  • Develop a website or web application for a client that the client will own.
  • Create a commercial SaaS application (like an invoicing app) where end users pay to use the application.
  • Develop a commercial self-hosted web application sold to end users for a one-time fee.
  • Produce a web application (like a conference organization app using the components or a template for its UI) that is free and open source, where the primary goal is not just component redistribution.

Examples of prohibited usage under the license:

  • Create a public repository of favored NextUI Pro components (or derivatives) and sharing it publicly.
  • Develop a UI library with NextUI Pro components for either sale or free distribution.
  • Adapt a NextUI Pro template to another framework for either sale or free distribution.
  • Design a "website builder" that enables end users to create websites using components from NextUI Pro.
  • Create themes with the components for either sale or free distribution.
  • Produce any End Product not owned solely by either your company or a client of your company. For example, your employees/contractors can't use the company NextUI Pro license for their own websites or side projects.
  • Provide access to NextUI Pro as part of another product sale. For example, you can't use a Startup Plan License to offer NextUI Pro access when selling an online course.
  • Sell access to your team account to individuals outside your company.

Startup and Organization Plan License Definitions

  • License Holder is the business entity who has purchased a Startup Plan License.
  • Components refer to the source code and design assets made available to the License Holder after purchasing a NextUI Pro license.
  • End Product is any creation that integrates the Components or their derivatives.
  • End User is a user of an End Product.
  • Employee is an individual who is employed by the License Holder.
  • Contractor is an individual or business entity contracted to perform services for the License Holder.
  • Client is an individual or entity receiving custom professional services directly from the License Holder, specifically created for that individual or entity. Customers of software-as-a-service products are not considered clients for the purpose of this document.

Enforcement

In the event of a license violation, your access to the NextUI Pro account will be revoked, and a refund might be provided, subject to our decision. If the license breach is deliberate and harmful, such as willfully distributing the Components via unauthorized channels or sharing restricted resources (including Figma files) with non-licensed users, a refund will not be granted.

The copyright of the Components is owned by NextUI Inc. You receive only the rights explicitly outlined in this license; all other rights are withheld. NextUI Inc. maintains the authority to seek legal action for any use of the Components that falls outside the permitted scope of this license.

Liability

NextUI Inc.’s liability to you for costs, damages, or other losses arising from your use of the Components — including third-party claims against you — is limited to a refund of your license fee. NextUI Inc. may not be held liable for any consequential damages related to your use of the Components.

This Agreement is governed by the laws of the State of Delaware and the applicable federal laws of the United States. Legal proceedings related to this Agreement may only be initiated in the courts of Delaware. You consent to service of process at the e-mail address provided in your original order.
